Merchant Agreement

This Merchant Agreement supplements the Terms of Service and applies to any business that uses PayKato to accept payments or request payouts.

1. Merchant onboarding

You agree to provide accurate business, ownership, and beneficial-owner information, and to keep it up to date. We and our partners may request additional documentation at any time to satisfy KYC, KYB, sanctions screening, and risk requirements.

2. Your products & services

You are solely responsible for the goods or services you sell, the accuracy of pricing and descriptions, taxes, fulfilment, customer support, returns, and compliance with the laws of every jurisdiction in which you operate.

3. Authorization to processors

You authorise PayKato and the relevant payment processor or banking partner to process card, bank, and alternative payment transactions on your behalf, to debit fees, and to apply reserves, refunds, chargebacks, and corrections.

4. Risk & underwriting

Your account is subject to ongoing risk review. We may, at our or a partner's discretion, set processing limits, require additional information, hold or delay payouts, or apply a reserve as described in our Reserve & Hold Policy.

5. Settlement & payouts

Payouts are made to a verified bank account in your name (or your registered business name) through licensed partners. Settlement timing depends on country, payment method, banking partner, compliance review, and currency. See the Payout Policy.

6. Fees

PayKato platform fee from 1.5%. Processor, FX, payout, bank, and country-specific fees may apply. Fees are debited from settled balances or invoiced separately.

7. Chargebacks & refunds

You are financially responsible for refunds, chargebacks, reversals, fines, and assessments resulting from your transactions, including related fees. See the Chargeback Policy and Refund Policy.

8. Prohibited activities

You must comply with the Acceptable Use Policy and may not process payments for the categories listed in Prohibited Businesses.

9. Suspension & offset

We may suspend processing, freeze balances, or offset amounts you owe us from any funds we control on your behalf to cover refunds, chargebacks, fees, or losses caused by your activity.

10. Term & termination

Either party may terminate this Agreement on reasonable notice. We may terminate immediately for violations, fraud, or risk. Sections relating to liability, fees, reserves, and dispute resolution survive termination.
